1. Acceptance of Terms

Welcome to TestKase, a test management platform operated by SolvionIT (OPC) Private Limited, accessible at https://testkase.com. By accessing or using our website, platform, or services ("Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use or access our Services.

SolvionIT (OPC) Private Limited reserves the right to update or modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent notice on the platform. Continued use of our Services after such changes constitutes your acceptance of the updated Terms.

2. Definitions

• "Services" — The TestKase web application, APIs, and all related features and functionality
• "User" — Any individual or entity that accesses or uses the Services
• "Account" — A registered user profile with credentials to access the Services
• "Content" — All text, data, files, images, and other materials available through the Services
• "User Data" — Any data, content, or information submitted by users to the Services (test cases, test cycles, test plans, attachments, etc.)
• "Subscription" — A paid plan that provides access to premium features of the Services
• "AI Features" — Optional artificial intelligence-powered functionality within the Services (test case generation, analysis, etc.)

3. Eligibility and Accounts

You must be at least 18 years of age to use our Services. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

SolvionIT (OPC) Private Limited reserves the right to suspend or terminate accounts that violate these Terms, engage in unauthorized activity, or are inactive for an extended period.

4. Use License

We grant you a limited, non-exclusive, non-transferable, revocable license to use TestKase for your internal business or personal test management purposes, subject to these Terms.

Under this license, you agree not to:

• Modify, copy, or redistribute any part of the platform
• Attempt to decompile, reverse engineer, or tamper with any part of the platform
• Sublicense, resell, or commercially exploit the Services
• Use the platform for unlawful or competitive intelligence purposes
• Remove or obscure copyright notices or proprietary marks

This license is automatically terminated if you breach any of these restrictions. Upon termination, you must immediately cease using TestKase.

5. Acceptable Use Policy

You agree not to use the Services to:

• Upload, store, or transmit illegal, harmful, or objectionable content
• Distribute malware, viruses, or other malicious code
• Abuse, overload, or interfere with the operation of the platform or its infrastructure
• Scrape, crawl, or use automated means to access the Services without written permission
• Impersonate another person or entity
• Interfere with or disrupt the security, integrity, or performance of the Services
• Violate the intellectual property rights or privacy of others

6. Data Ownership and User Content

You retain full ownership of all User Data you submit to the Services. By using TestKase, you grant us a limited, non-exclusive license to host, store, process, and display your User Data solely for the purpose of providing the Services to you.

We do not claim ownership over your User Data. We may use anonymized, aggregated data (that cannot identify you or your organization) for analytics and platform improvement.

Upon account termination, you have a 30-day window to export your data. After this period, your data will be permanently deleted in accordance with our data retention policy.

7. AI Features and Disclaimers

TestKase offers optional AI-powered features (such as test case generation and analysis). These features require explicit client approval before activation and are subject to the following:

• AI-generated output is provided "as-is" without any guarantee of accuracy, completeness, or fitness for purpose
• You are responsible for reviewing and validating all AI-generated content before use
• Your data is not used for training AI models by us or our LLM providers
• AI features may be subject to usage limits based on your subscription plan

8. Subscription and Payments

Certain features of TestKase require a paid subscription. By subscribing, you agree to:

• Provide accurate and complete billing information
• Authorize Razorpay (our payment processor) to charge the applicable subscription fees on a recurring basis

All payments are non-refundable unless otherwise stated in a written agreement. We reserve the right to change pricing with at least 30 days' prior notice. Applicable taxes will be charged in accordance with Indian law.

9. Service Availability

We target 99.9% uptime for the TestKase platform, excluding scheduled maintenance windows. However, we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. Scheduled maintenance will be communicated in advance whenever possible.

10. Intellectual Property

All materials, code, design, logos, and content available on TestKase are the property of SolvionIT (OPC) Private Limited or its licensors and are protected under applicable copyright, trademark, and intellectual property laws. The TestKase name, logo, and all related marks are trademarks of SolvionIT (OPC) Private Limited. Nothing in these Terms grants you ownership rights to any intellectual property owned by us or our partners.

11. Third-Party Integrations

TestKase may include integrations with third-party services such as Jira and other project management tools. We are not responsible for the availability, accuracy, or functionality of these third-party services. Your use of third-party integrations is subject to their respective terms of service and privacy policies.

12. Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. SolvionIT (OPC) Private Limited makes no representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or completeness of materials. Use of TestKase is at your sole risk.

13. Limitation of Liability

In no event shall SolvionIT (OPC) Private Limited or its affiliates, directors, employees, or agents be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, business opportunities, or goodwill) arising from your use of or inability to use the Services.

Our total aggregate liability for any claim arising from or related to your use of TestKase shall not exceed the amount you paid for the Services in the preceding three (3) months. Some jurisdictions do not allow such limitations, so certain parts of this section may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless SolvionIT (OPC) Private Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any User Content you submit that infringes on the rights of others

15. Account Termination

We may suspend or terminate your account or access to the Services at any time, with or without notice, for conduct that violates these Terms, is harmful to other users, or is detrimental to the reputation of TestKase.

You may delete your account at any time through your account settings. Upon termination or deletion, you will have a 30-day window to export your data. After this period, your data will be permanently deleted. Sections regarding intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions or restrictions, wars, terrorism, internet or telecommunications outages, power failures, or labor disputes.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Services shall fall under the exclusive jurisdiction of the courts of Ghaziabad, Uttar Pradesh, India.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
